These Terms and Conditions ("Terms") govern your use of ClientScale.ai services. By engaging our services, you agree to be bound by these Terms. Please read them carefully.
1. Services
ClientScale.ai provides AI-powered business automation services including but not limited to:
- AI chat agents for websites and social media
- Voice agent systems for inbound and outbound calls
- Email marketing and outbound campaigns
- CRM setup and management
- Appointment booking automation
- Social media management and automation
2. Payment Terms
- Setup Fee: A one-time setup fee is due before work begins. This fee is non-refundable after work has commenced.
- Monthly Retainer: Billed monthly in advance. Due on the same date each month.
- Late Payment: Services may be suspended after 7 days of non-payment.
- Price Changes: We will provide 30 days notice of any price changes.
3. Money Back Guarantee
- Starter Plan: 14-day money back guarantee from go-live date.
- Growth Plan: 30-day money back guarantee from go-live date.
- Agency Plan: 30-day money back guarantee from go-live date.
- Refunds apply to the monthly retainer only. Setup fees are non-refundable.
- To claim a refund, contact [email protected] within the guarantee period.
4. Delivery Timeline
- Week 1: Chat agent, WhatsApp AI, email AI, and booking system go live within 48 hours of completed onboarding.
- Week 2-3: Voice agent and social media automation (subject to third-party API approvals).
- Week 4-6: Full outbound campaigns (subject to email domain warming period).
- Timelines are estimates and may vary based on third-party approvals outside our control.
5. Client Responsibilities
To deliver our services effectively, clients must:
- Complete the onboarding questionnaire accurately and promptly
- Provide access to required platforms (social media, website, calendar)
- Respond to questions within 48 hours during setup
- Ensure all content provided complies with applicable laws
- Not use our services for spam, illegal activities, or harmful purposes
6. Voice Agent & Call Usage
Monthly plans include up to 1,000 voice minutes per month. Usage above this threshold is billed at $0.10 per minute. Clients will be notified when approaching the limit.
7. Intellectual Property
- ClientScale.ai retains ownership of all automation templates, workflows, and systems built.
- Content specific to your business (FAQs, scripts, branding) remains your property.
- Upon contract termination, we will provide an export of your CRM data within 14 days.
8. Cancellation
- Either party may cancel with 30 days written notice.
- No lock-in contracts. Cancel anytime with 30 days notice.
- Upon cancellation, services continue until the end of the paid period.
- We will export and deliver your CRM data within 14 days of cancellation.
9. Limitation of Liability
ClientScale.ai shall not be liable for indirect, incidental, or consequential damages. Our total liability shall not exceed the monthly retainer paid in the preceding month. We are not responsible for third-party platform outages (Meta, Google, VAPI, etc.).
10. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the engagement. This includes business data, customer information, pricing, and strategic plans.
11. Changes to Terms
We reserve the right to update these Terms at any time. We will notify clients of significant changes with 30 days advance notice via email.
12. Governing Law
These Terms are governed by applicable law. Any disputes shall be resolved through good faith negotiation before pursuing legal remedies.
